Terms & Conditions – TCL Kenya

1. Introduction
These Terms & Conditions (“Terms”) govern your access to and use of tcl-kenya.com (the “Website”), and any purchases, products or services provided by TCL Kenya (“we”, “us” or “our”). By accessing or using the Website, placing an order, or otherwise engaging with our services, you confirm your acceptance of and agreement to be bound by these Terms. If you do not agree to any part of these Terms, you must not use the Website or place an order.
2. Definitions
“You” or “Customer” means the individual or entity who visits the Website, places an order or uses our services.
“Products” means any goods offered for sale by us on the Website.
“Order” means a request by you to purchase one or more Products via the Website in accordance with our ordering process.
3. Eligibility & Account Registration
By placing an Order you represent that you are at least 18 years of age and have legal capacity to enter into these Terms.
If you register for an account, you undertake that the information you provide is accurate, complete and up to date. You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account.
We reserve the right to suspend or terminate your account or refuse to process an Order if we believe you have breached these Terms.
4. Product Information & Availability
We endeavour to ensure that all Products listed on the Website are available. However, availability cannot always be guaranteed. If a Product is unavailable after you place an Order, we will notify you and you may cancel that Order or select an alternative.
Product descriptions, pricing and images are for illustrative purposes only. We do not warrant that the descriptions or content are error-free.
5. Pricing, Payment & Order Processing
The price of each Product is as stated on the Website at the time you place your Order. We reserve the right to change prices without notice, but such changes will not apply to Orders already confirmed.
Payment must be made at the time of Order (unless specifically eligible for Pay on Delivery under our policy for Nairobi & Kiambu).
Once we accept your Order (by sending you a confirmation email), a contract is formed. We shall then process and deliver the Product in accordance with our Shipping & Delivery Policy.
6. Delivery & Risk
Delivery will be to the address you provide as part of your Order. You must ensure that the delivery address is correct and accessible.
Risk of loss or damage to the Product passes to you upon delivery. You should inspect the Product for damage or defects immediately upon receipt and notify us of any issues within the timeframe set out in our Return & Exchange Policy.
7. Returns, Refunds & Warranty
Our Return & Exchange Policy (as displayed on the Website) forms part of these Terms and sets out your rights in respect of returns, refunds and exchanges.
All Products are covered by our 2-year warranty from the date of delivery, subject to the conditions set out in our Warranty Policy.
8. Intellectual Property
All intellectual property rights in and to the Website, its content, design, graphics, software and trademarks are owned by or licensed to us. You may use the Website solely for your personal, non-commercial use. Any other use (including copying, modifying, distributing or creating derivative works) is strictly prohibited without our prior written consent.

Attempt to gain unauthorised access to any part of the Site, other accounts, computer systems or networks;
Interfere with or disrupt the Website or any product, service or equipment related to the Website;

11. Disclaimers & Limitation of Liability
The Website and all information, products and services provided are offered on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties (express or implied) including merchantability, fitness for purpose, non-infringement or accuracy.
Subject to mandatory Kenyan law, our liability to you for any loss or damage arising under or in connection with your use of the Website or purchase of Products shall, in aggregate, not exceed the total amount paid by you for the Product(s) in question.
We shall not be liable for indirect or consequential losses (such as lost profits, business interruption or loss of data) even if we have been advised of the possibility of such losses.

You agree to indemnify, defend and hold us (and our officers, employees, agents, affiliates and licensors) harmless from and against any claims, actions, losses, liabilities, costs or expenses (including legal fees) arising out of your breach of these Terms, misuse of the Website, violation of any law or the rights of any third party.
13. Governing Law & Jurisdiction
These Terms shall be governed by the laws of the Republic of Kenya. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.
14. Changes to These Terms
We reserve the right to modify or update these Terms at any time without prior notice. Any changes will be effective immediately upon posting on the Website. Your continued use of the Website following the posting of updated Terms constitutes your acceptance of the changes.
